Why We Work Differently

More than one year ago, I had a business client, let’s call them Company X, on our typical hourly fee billing. I never liked billing hourly because there is little correlation to value and time spent, but it’s the norm among law firms.

Under an hourly fee, clients from time to time would weigh the costs and benefits in deciding whether to tender a matter to our firm. It was one of those times where Company X’s CEO made a conscious decision to NOT have our firm review a particular agreement. Perhaps at the time it made sense to the CEO since the agreement was a small transaction worth around only $8,000. The CEO would later learn that he had made an $80,000 mistake. By not spending a couple hours in legal fees to review and redraft the agreement, an avoidable dispute led to litigation costing the company ten times the amount of what it paid in the original agreement.

It was at this point where I had to find a way to realign the incentives for both client and attorney. There had to be a way where the client no longer has reservations like Company X had to share all potential legal issues with our firm and at the same time give our firm the incentive to provide value and satisfy our clients. The answer was simple–a flat monthly fee that covers virtually all the legal needs of our business clients with no long term commitment.

How a Monthly Flat Fee Works

The bigger companies have the luxury of having an in-house legal department; think of our firm as your in-house legal department as Top Floor Legal acts as your outside general counsel—readily available by phone or email. Because our engagements are month-to-month, we are forced to please you every month by providing you with constant communication, quick turnaround times, and risk conservative expert advice.

Most firms are still stuck in their typical hourly fee because this is the only way to throw a curtain between them and their clients concealing how much time is actually spent and whether the clients are actually receiving value for your dollar. How the Monthly Fee Calculated

Even though our realigned incentive model produces better results than a typical firm’s hourly fee model, it is typically less expensive. There is an understanding between firm and client that in some months, our firm will be working overtime to get some transactions done and in other months much less, but because the cost is spread out over months and it is both predictable for firm and client, we are able to provide a better rate than if we were charging our $300-$400 per hour fee.

Our monthly pricing is determined on a case by case basis based upon the size, age, and type of your business as well as the anticipated issues that will be dealt with in the short and long term including corporate governance, disputes, employment issues, and volume of transactions. Because of our experience, we are usually pretty accurate in anticipating your needs and the monthly fee would only need adjusting if there is some substantial change in your business – usually for the better with our clients.

The amount of the monthly fee has had a wide range and we often give substantial discounts to promising startups that are looking for a long term relationship. For a business with minimal needs we have provided our general counsel services for as low as $750 per month.

Though we only enter into engagements where both our firm and client intend to enter into a lasting relationship, we have no long term commitment. If you retain our firm and are unhappy with our services after just one month, you can terminate the relationship. That’s right, in theory, you could pay one month’s retainer, use us for a dozen hours of legal time, in which we may take a loss, and not continue with our firm. We make this gamble every month, but we know that when we provide a valuable service at a reasonable fee, our clients will not only be clients for life, but our biggest advocates.
