Top Floor Legal provides comprehensive legal protection for businesses by acting as its general counsel for a fixed monthly fee. As a small to mid-size business, you get the in-house counsel service without paying the six-figure salary. We do, of course, provide flat fee services as well on a need basis.

Top Floor Legal's fixed monthly retainer provides for generally every legal need of your business. At only a phone call or email away, your business has a dedicated general counsel to deal with virtually every legal issue.
Need a contract drafted? Need to terminate an employee? There are no hidden fees and no surprise bills. There are some exceptions that are not covered under this monthly fee, such as specialty services like litigation, tax opinions, and patent filings (see retainer agreement for details).
There is no long term commitment. Top Floor Legal realigns the incentives by allowing the attorney-client relationship to terminate at any time. This means that each month we must prove the value of our services to our clients. We believe this has been key in creating the close long term relationship that we have with our clients.
Not to be confused with legal insurance, Top Floor Legal provides actual legal services performed by top business and corporate attorneys. The monthly rate varies depending on the needs and size of the business, but the general goal is to spread out your legal costs so that you may budget in the long-term. This means that instead of paying a sizeable up-front retainer deposit, your legal fees are spread out in a monthly fee.

Top Floor Legal is owned and managed by Nasir N. Pasha, Esq., an experienced business attorney. Mr. Pasha, a member of the State Bar of California, started Top Floor Legal to fill a gap he identified in traditional legal service. He saw a need for a law firm with the skills and capabilities to provide legal counsel to businesses throughout their four stages of development: start-up, growth, expansion, and maturity.
Prior to establishing Top Floor Legal, Mr. Pasha's focus as an attorney was risk management and liability prevention for businesses of all types. He became aware of a growing perception among business owners that attorneys were not furthering success, but were, instead, actually hindering growth. Mr. Pasha has invested significant time and research developing the firm structures that Top Floor Legal uses today. These structures focus on achieving firm growth by earning life-long clients.
Mr. Pasha is a programmer hobbyist and is active in the San Diego programming and start up community. Mr. Pasha also enjoys hiking, mountain biking, and traveling.
Peter O'Neill has many years of business law experience, solid academic credentials, and a truly international perspective.
Mr. O'Neill was born on a farm in Ireland and attended law school in England after graduating from University College Dublin with an honors degree in History and Political Science. Mr. O'Neill then had an opportunity to move to the United States and, after a brief time working as a Registered Representative ("stock broker") in New York, he moved to Nashville to attend Vanderbilt Law School. Mr. O'Neill regularly made Dean's List and was awarded Order of the Coif for being in the top 10% of his graduating year. During his time at Vanderbilt Law School, Mr. O'Neill also received Scholastic Excellence Awards for the top grade in several corporate law and related classes, including Payment Systems, Securities Regulation: Securities Act of 1933, Corporate and Securities Transactions, Tax of Transnational Operations and Comparative Law. Mr. O'Neill also received the West Publishing Company Award for Outstanding Scholastic Achievement for his paper on ethical implications of the development of large international law firms.
Upon graduating from law school and passing the Tennessee Bar Examination, Mr. O'Neill clerked for the Tennessee Court of Appeals for a year, assisting Justice Koch with researching and writing judicial opinions. Mr. O'Neill then passed the California Bar Examination and joined the prestigious international law firm of Cooley LLP in San Diego, where he specialized in corporate law, with particular emphasis on assisting growing companies with day to day legal issues as well as mergers and acquisitions, public offerings, and venture capital financing. Since that time, Mr. O'Neill has assisted in the founding and operation of several small businesses, including acting as their chief legal officer. Mr. O'Neill is a part of Top Floor Legal in an Of Counsel capacity.
Robert M. Ungar is an experienced, creative and effective business litigator. Mr. Ungar's distinguished career includes more than 75 jury and bench trials in state and federal courts over the past 30 years. Mr. Ungar has also successfully resolved a wide range of business disputes through arbitration and mediation. Mr. Ungar's experience includes litigation of many international business disputes.
Mr. Ungar is a former Judge pro tempore in the Los Angeles Superior Court. He serves annually as a moot court judge for the University of San Diego School of Law. Mr. Ungar is involved in community non-profit projects, including his efforts with Scripps Foundation to bring premium cable TV programming and wireless public Internet to all Scripps hospitals.
Mr. Ungar is a graduate of the University of Michigan and the University of Detroit School of Law. Mr. Ungar is a published author of professional journal articles, and he is currently writing the legal treatise, California Business Divorce, for publication in 2014. Mr. Ungar is a part of Top Floor Legal in an Of Counsel capacity.
Matthew J. Staub is an attorney specializing in taxation, trusts and estates, and business succession planning. Mr. Staub has represented a wide range of businesses against the Internal Revenue Service and Franchise Tax Board, as well as provided estate and succession planning for business owners.
Prior to practicing law, Mr. Staub attended the Kelley School of Business at Indiana University, where he majored in accounting and entrepreneurship. While his background in accounting drove his interest in tax, his foundation in entrepreneurship is what attracted him to Top Floor Legal. Mr. Staub also attended the University of the Pacific, McGeorge School of Law, where he received a taxation specialization. During that time, he spent multiple years running the Volunteer Income Tax Assistance group and representing taxpayers against the Franchise Tax Board through the Tax Appeals Assistance Program.
Mr. Staub is active in the San Diego community by volunteering his time towards pro bono legal work and sitting on the board of a charitable organization.
